Nyxoah Files Shelf Registration Statement and
Announces At-the-Market Equity Offering Program

Mont-Saint-Guibert, Belgium – December 22, 2022, 10:10pm CET / 4:10pm ET – Nyxoah SA (Euronext Brussels/Nasdaq: NYXH)(“Nyxoah” or the “Company”), a medical technology company focused on the development and commercialization of innovative solutions to treat Obstructive Sleep Apnea (OSA), today announced that it has filed a $200 million shelf registration statement on Form F-3 (the “Registration Statement”) with the U.S. Securities and Exchange Commission (the “SEC”).  Once declared effective by the SEC, the Registration Statement would permit the Company to sell, from time to time, up to $200 million in aggregate value of its common stock, preferred stock, debt securities, warrants, and/or units. The Registration Statement is intended to provide the Company with flexibility to access additional capital when market conditions are appropriate.

The Company also entered into a sales agreement (the “Sales Agreement”) with Cantor Fitzgerald & Co. (“Cantor”), as sales agent, pursuant to which the Company may sell new ordinary shares having an aggregate offering price of up to $50 million (the “Offered Shares”) from time to time through an “at-the-market” offering (the “ATM”). The actual number of Offered Shares to be issued, if any, will depend on the Company’s determination, in its sole discretion, to make sales and the price per share of any such sales. However, the number of Offered Shares shall not exceed 6 million shares. The Offered Shares will be sold at a sales price per Offered Share equal to the then current USD market price of the Nyxoah ordinary share on the Nasdaq Global Market at the time of the relevant sale.

Cantor may sell Offered Shares by any method permitted by law deemed to be an “at-the-market” offering as defined in Rule 415 of the Securities Act of 1933, as amended, including without limitation sales made directly on the Nasdaq Stock Market, on any other existing U.S. trading market for the ordinary shares, or to or through a market maker.  Since the Offered Shares will be sold at market prices prevailing at the time of the sale, sales prices may vary.  No sales of Offered Shares will be conducted in Belgium or through Euronext.

FAB, Magnati, and PayRow Net partner to create payment solution for Dubai’s ports sector

ABU DHABI, First Abu Dhabi Bank (FAB) with the support of its affiliate, Magnati, is collaborating with PayRow Net through the Ports Customs and Free Zone Corporation (PCFC) to establish a best-in-class digital payment platform to spur Dubai’s shift towards becoming a cashless economy.

The new payment ecosystem is set to transform the existing payment gateway, leading to an advanced customer payment journey and improved user experience.

Government entities and merchants will now be able to receive payments from their customers in an easy, flexible, unified, and secure manner. Dubai records over AED9.1 bn in weeklong real estate transactions

DUBAI, A total of 2,926 real estate transactions worth over AED 9.1 billion were conducted during the week ending 23rd December, 2022, according to figures released by the Dubai Land Department (DLD).

The DLD report revealed that 159 plots were sold for AED 877.59 million, while 2,233 apartments and villas were purchased for AED 5.44 billion.

The top three transactions were a land in Business Bay sold for AED 100 million, followed by a land that was sold for AED 96.5 million in Al Safouh First, and a land sold for AED 100 million in Business Bay.

Al Hebiah Fifth recorded the most transactions for this week with 66 sales transactions worth AED 177.34 million, followed by Al Yufrah 2 with 21 transactions worth AED 28.72 million, and Jabal Ali First with 12 transactions worth AED 38 million.

The top three transfers for apartments and villas were an AED 315 million apartment in Jumeirah First, an AED 183 million apartment in Business Bay, and an AED 85 million apartment in Palm Jumeirah.

The value of mortgaged properties for the week landed at AED 2.65 billion, with the highest being a land in Palm Jumeirah, mortgaged for AED 794 million. Meanwhile, 79 properties were granted between first-degree relatives worth AED 172 million.

UAE Ambassador presents credentials to President of Côte d’Ivoire

ABIDJAN, Ali Yousef Al Nuaimi presented his credentials as Ambassador Extraordinary of the UAE to the Republic of Côte d’Ivoire to President Alassane Ouattara, President of Côte d’Ivoire, at the presidential palace in the capital, Abidjan.

During the meeting, Al Nuaimi conveyed the greetings of President His Highness Sheikh Mohamed bin Zayed Al Nahyan and His Highness Sheikh Mohammed bin Rashid Al Maktoum, Vice President, Prime Minister and Ruler of Dubai, as well as their wishes to President Ouattara and the people of Côte d’Ivoire for further development and prosperity.
